Terms & Conditions

The following terms and conditions will be enforced with any work conducted by Forge Creative for existing and prospective clients (the Company).

Commencement of work
The Company must agree to provide written approval of any new submission before work is commenced, as a Letter of Agreement between the Company and Forge Creative.

Approvals
The Company will check and sign Design Estimates and Print Quote approvals prior to the progression of jobs to be printed.

Delays
Some events that affect delivery are beyond the control of Forge Creative and include client delays in signing proofs, author’s alterations and printer and other third party delays.

Design samples
The Company must agree to supply for free, in addition to fees for service, a number of printed samples of every item produced for the Company by Forge Creative during the course of this project for reference purposes.

Studio promotional usage
Forge Creative retains personal rights to use the completed project and any preliminary designs for the purpose of design competitions, future publications on design, educational purposes and the marketing of Forge Creative. Where applicable the Company will be given any necessary credit for usage of the project elements.

Design credit
The Company gives permission for Forge Creative to place a small credit on printed material. This will usually be in the form of a discreet logo placed at the back of printed material.

Copyright
One time reproduction rights for the specified project, at the agreed fee, are granted to the company. Any other usage must be negotiated.

Confidentiality
It is agreed that employees of Forge Creative shall not at any time either during the continuance of the work outlined or thereafter, except in the course of their duties, divulge any of the confidential affairs of the Company or any of its clients or associated companies to anyone whatsoever without the previous consent in writing of the Company.

Rejection/cancellation of project
The Company shall not unreasonably withhold acceptance of, or payment for, any project. If, prior to completion of the project, the Company observes any nonconformance with the design plan, Forge Creative must be promptly notified, allowing for necessary corrections. Rejection of the completed project or cancellation during its execution will result in forfeiture of deposit and the possible billing for all additional labour or expenses to date. All elements of the project must then be returned to Forge Creative. Any usage by the Company of those design elements will result in appropriate legal action. The Company shall bear all costs, expenses, and reasonable attorney’s fees in any action brought to recover payments.

Payment terms
It is agreed that the fee for service shall be the cost estimates provided prior to work being commenced, unless work undertaken exceeds work outlined. If work undertaken exceeds these items, the Company agrees to pay appropriate fees for the excess work. Excess work is defined as any work involving additions to the list of items provided prior to work being commenced or changes to all pieces of finished artwork after sign off by an authorised representative of the Company. An initial deposit of 50% of the fee for service is required prior to work being commenced. Periodical payments are required for work conducted 1 calendar month after the commencement of the project, and subsequent months thereafter. The Company agrees to pay invoices within 14 days of receipt. We reserve the right should the Company fail to pay invoices by the due date that a) we will charge interest on any overdue invoice at current bank overdraft rates per month calculated and payable daily, compounded from the due date until the invoice is paid in full and b) the Company shall pay our costs and expenses (including legal costs and debt collection costs) which may be incurred in the recovery or attempted recovery of the overdue amounts from the Company.

Amendments to these Terms and Conditions
All and any amendments to the terms and conditions outlined must be provided in writing by the Company and signed by an authorised representative of Forge Creative prior to the commencement of work.
